Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the website https://www.giglearn.in/ and the GigLearn platform (collectively, the "Platform"), operated by Nexbridge Ventures Pvt. Ltd. ("GigLearn", "we", "us", "our"). By registering for, accessing, or using the Platform, you agree to be bound by these Terms and our Privacy Policy, Refund Policy, and Cancellation Policy. If you do not agree, do not use the Platform.

1. About GigLearn

GigLearn is an India-only marketplace that connects college students ("Students") with businesses ("Businesses") through learning-backed gig work. Students learn digital skills on the Platform, complete skill verification where required, and may apply for real, paid gigs posted by Businesses. GigLearn facilitates these engagements and the associated payments.

GigLearn is an intermediary under Section 2(1)(w) of the Information Technology Act, 2000. GigLearn is not the employer of any Student, is not a staffing or placement agency, and is not a party to the work arrangement between a Student and a Business. Nothing in these Terms creates any employment, apprenticeship, agency, partnership or joint venture relationship, and no Student is entitled to salary, PF, ESI, gratuity, leave or any statutory employment benefit from GigLearn.

GigLearn is not a bank, NBFC or deposit-taker. Funds held against a gig are held for settlement purposes only, are not deposits, and earn no interest for any user.

2. Eligibility

  • Students must be at least 18 years of age. Age is confirmed by self-declaration at registration. The Platform is not intended for minors. We may require age verification where there is reasonable doubt. If we become aware that an account holder is under 18, we will suspend the account and release any legitimately earned balance only after verification.
  • Students are expected to be enrolled in college (or equivalent). College enrolment is confirmed through manual review of a College ID uploaded for verification; we do not automatically enforce degree level (undergraduate vs postgraduate).
  • Businesses must be lawfully constituted and authorised to engage independent talent. Business accounts require manual onboarding approval by GigLearn before full portal access.
  • You are responsible for ensuring the information you provide during registration and verification is accurate, current, and complete.
  • One account per person and per business. Operating multiple accounts, sharing an account, or opening an account to evade a suspension is a breach of these Terms.

3. Accounts & Verification

Registration and learning on the Platform are free for Students.

3.1 Student verification (required before applying for paid gigs)

Before a Student can apply for paid gigs, and before wallet payouts can be released, GigLearn requires:

  • Email verification by OTP.
  • Skill verification for the relevant skill paths, as required by the Platform.
  • Identity / payout verification, reviewed manually by the GigLearn team: College ID — the Student uploads their College ID (image or PDF); Bank details — the Student provides bank account details together with a supporting bank document. We perform format checks (for example IFSC) and manual admin review.

What we do not do today. We do not collect Aadhaar or PAN for Student verification. We do not use automated third-party KYC, DigiLocker, or Razorpay penny-drop / UPI validation. Phone numbers are collected but are not verified by OTP at present. Verification therefore relies on the documents you upload and on the accuracy of the information you give us.

Reserved right. GigLearn may at any time require a Student to furnish PAN or other identification, or to complete additional or automated verification, where necessary for tax, payout or regulatory compliance. GigLearn may withhold any payout until such information is furnished and verified.

Name matching. The name on your registration, your College ID and your bank document must match. Payouts are made only to a bank account held in the Student's own name. We will not pay into a parent's, friend's or any third party's account.

Uploaded verification documents are stored on private Platform storage for review and record-keeping. Documents may be replaced by the Student while verification is pending or after rejection; once approved, College ID resubmission is restricted as shown in the product.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3.2 Business onboarding

Businesses complete a profile (including optional GST number where provided) and submit for manual GigLearn approval. There is no third-party business KYC vendor integration today. Portal access for posting and managing gigs requires an approved onboarding status.

4. Gigs, Payments & Platform Fee

4.1 Who pays

  • Students do not pay GigLearn to register, learn, or apply for gigs.
  • For each paid gig, the Business funds the engagement through the Platform's payment partner (Razorpay) at the time of posting, and again for any approved budget top-up.

4.2 What the Business pays (checkout)

At checkout, the Business pays: Gig budget + Business platform fee + GST on the Business platform fee. The Business platform fee rate is set by GigLearn and shown at checkout, and may be snapshotted for that gig. GST is charged on the platform fee only, not on the gig budget.

4.3 What the Student earns

On successful completion — admin mark-complete after the Platform's review and Business acceptance workflow — the Student's earning credited to the GigLearn wallet is: Gig budget − Student platform fee − GST on the Student platform fee. The amount displayed to the Student is already net. Fee rates are set by GigLearn and applied as configured on the Platform at the time of the engagement.

4.4 Changes to fees

GigLearn may change platform fee rates. We will give at least 30 days' notice of any increase, by email and in-product notice. Changed rates do not apply to gigs already funded. Continued use after the notice period is acceptance.

4.5 Wallet & withdrawals

  • Earnings are credited to the Student's Platform wallet, subject to approved verification.
  • Students may request withdrawal subject to the minimum withdrawal amount shown on the Platform (currently ₹100), verification status, and GigLearn's payout processing, including admin confirmation of bank/UPI payout references.
  • Only one withdrawal request may be pending at a time.
  • A withdrawal may be rejected with a stated reason — for example a name mismatch, failed verification, or an open dispute. Rejected amounts return to the available balance.
  • A Student may be restricted from applying to further gigs until a prior gig's payout has been credited.
  • Set-off. GigLearn may set off against your wallet any amount you owe us under these Terms, including refunds funded on your behalf, chargebacks, and amounts due under Section 7.
  • Dormant balances. If a wallet holds a balance and the account is inactive for 24 months, we will attempt to contact you at your registered email. If we receive no response within 90 days of the last attempt, we may deal with the balance in accordance with applicable law.

4.6 Taxes

GST on platform fees is handled as described above and on invoices issued by the Platform. The Platform may not deduct TDS or TCS at the current stage of operations. Where TDS under Section 194-O of the Income Tax Act, 1961 or TCS under Section 52 of the CGST Act, 2017 becomes applicable to GigLearn as an e-commerce operator, it will be deducted or collected and reflected as required by law, and GigLearn may require PAN or other information before releasing a payout in order to apply the correct rate.

Your own tax position is your responsibility. Gig earnings are your income. GigLearn does not file your income tax return, does not advise you on your tax position, and is not liable for your tax compliance. If you cross the GST registration threshold, obtaining and maintaining registration is your responsibility.

4.7 Refunds & cancellations

Payment timelines, holds, refunds, and cancellations are governed by our Refund Policy and Cancellation Policy. In particular: cancelling a gig does not by itself move money; posting refunds, when issued, retain a payment processing fee of approximately 2% of the refunded gross plus GST on that processing fee, and the remaining amount is refunded to the Business — except in the cases listed in Refund Policy §5, where the full gross is refunded.

4.8 Chargebacks

Initiating a payment reversal with your bank or card issuer instead of using the process in Section 6 is a breach of these Terms. We will suspend the account, contest the reversal with our full transaction record, and recover the amount together with any fee levied on us.

5. Gig Workflow

5.1 Posting and approval

Every gig is reviewed by GigLearn before going live. We check the brief for clarity, feasibility, legality and appropriateness, and may reject it or return it for changes. A gig becomes assignable only once it is both approved and funded.

The Business warrants that the brief accurately describes the deliverables, that it has the right to commission the work, that it holds the rights to any reference material or brand assets it supplies, and that the work is lawful.

5.2 Matching and assignment

All live gigs are visible to Students, but a Student may only apply where the relevant skill is verified and identity/payout verification is approved. Applications are reviewed by GigLearn, shortlisted profiles are forwarded to the Business, and the Business's selection is processed by GigLearn, which formally connects the parties and opens the gig chat.

No Student is entitled to be shortlisted, forwarded or selected, and GigLearn is not required to give reasons for a shortlisting decision.

All gig communication must take place in the gig chat. GigLearn may view and join any gig chat at any time, including to mediate a dispute. You consent to this.

5.3 Submission, revision and completion

The Student submits work through the Platform as required by the product, together with an explanation of what was delivered. Any link submitted must remain accessible with correct permissions for at least 90 days. Submissions are reviewed by GigLearn before being forwarded to the Business. A return by GigLearn for correction does not count as a Business revision.

A Business may request a maximum of two (2) revisions per gig. A revision must fall within the original brief. A request that materially expands scope is new work and requires a new gig or an approved budget top-up processed through the Platform.

Deemed approval. If the Business does not approve, request a revision, or raise a dispute within five (5) working days of the submission being forwarded, the submission is treated as approved and GigLearn will proceed to complete the gig and credit the Student. Silence is approval.

On completion, GigLearn marks the gig complete. This releases the Student's earning to the wallet, issues the gig certificate, and awards Gig Points.

6. Disputes

6.1 Between a Student and a Business

Raise the issue in the gig chat first. If unresolved, either party may escalate to GigLearn support within 7 days of the triggering event. GigLearn will review the brief, the chat record, the submission and both parties' evidence, and decide the outcome, which may include releasing payment in full or in part, or refunding in full.

GigLearn's decision is final and binding at Platform level. Where a party does not respond within the time we specify, we may decide on the material available. Nothing in this clause removes your rights under applicable law.

6.2 With GigLearn

Contact our Grievance Officer (Section 13). We will acknowledge within 24 hours and aim to resolve within 15 days.

Any dispute not resolved through the grievance process is subject to the exclusive jurisdiction of the courts at Nagpur, Maharashtra, in accordance with Section 17. Nothing in these Terms restricts a consumer's right to approach a consumer forum under the Consumer Protection Act, 2019.

7. Working Off-Platform

The Platform exists to introduce Students and Businesses to each other and to carry the payment, verification and dispute process between them. Where an introduction made on the Platform is taken off it, GigLearn is entitled to be paid for that introduction.

Conversion fee. If a Student and a Business engage each other directly, outside the Platform, for work of the same or similar nature within twelve (12) months of an introduction made through the Platform, a conversion fee becomes payable to GigLearn equal to the platform fees GigLearn would have earned had that work been run through the Platform. GigLearn may waive or reduce this fee on written request, and will not unreasonably refuse.

While a gig is active, all communication and payment for that gig must remain on the Platform. Contact details may be exchanged inside the gig chat only where the gig genuinely requires it — for example account access, a site visit, or a login handover.

Attempting to move an active gig off the Platform, or inducing another user to leave the Platform in order to avoid platform fees, is a breach of these Terms and may result in suspension or termination, forfeiture of Gig Points, and loss of skill verification.

8. Certificates

Certificates may be issued when a gig is successfully completed on the Platform, typically when GigLearn marks the gig complete after the submission workflow. Completing a course, passing a learning challenge (including "Boss Fight"-style assessments), or similar learning activities does not by itself generate a gig completion certificate. GigLearn may also issue certificates manually in exceptional cases.

A certificate records that a specific gig was completed and accepted on the Platform. It is not a degree, diploma, licence, or professional qualification, and does not certify employment. Profile links that Students add to their profile are not "verified portfolio" products issued by GigLearn.

9. Gig Points

Gig Points ("GP") are a discretionary loyalty feature. GP is not currency, not a security, not a deposit, and not a legal entitlement.

  • GP is earned for actions such as completing a gig, verifying a skill, completing a level, and referring a Student who goes on to complete their first paid gig. Award amounts are set by GigLearn and may change.
  • Referral GP is credited only when the referred Student completes their first paid gig and the payout is processed — not on signup and not on course completion. Self-referral, duplicate accounts and referral farming forfeit all GP and may result in termination.
  • GP may be redeemed into your wallet at the rate and minimum shown on the Platform, subject to admin review. One redemption request may be pending at a time.
  • GigLearn may vary, suspend or discontinue the GP programme, or change earn rates, tiers and redemption values, on notice. GP has no cash value until redeemed and approved, expires on account termination, and is not transferable or sellable.

10. Acceptable Use and Prohibited Gigs

10.1 You agree not to

  • submit false, forged or borrowed verification documents;
  • impersonate any person or business, or use another person's identity, bank account or College ID;
  • submit plagiarised, purchased, stolen or previously delivered work as original;
  • subcontract a gig to another person without written approval from GigLearn and the Business;
  • share your account or operate an account on another person's behalf;
  • manipulate ratings, reviews, Gig Points or completion metrics;
  • harass, abuse, threaten, discriminate against or sexually harass any user or GigLearn staff;
  • move an active gig off the Platform in breach of Section 7;
  • scrape, reverse-engineer, load-test or attempt to breach the Platform's security;
  • host, display, upload, publish or share any information that is defamatory, obscene, paedophilic, invasive of another's privacy, insulting or harassing on the basis of gender, racially or ethnically objectionable, relating to or encouraging money laundering or gambling, harmful to a child, infringing of any intellectual property right, deceptive or misleading as to origin, impersonating another person, containing a software virus, or otherwise unlawful under Indian law.

10.2 Prohibited gigs

Gigs may not be posted or performed for any of the following:

  • anything unlawful under Indian law;
  • academic dishonesty — writing assignments, dissertations, projects or examinations for students; proxy attendance; proxy interviews;
  • fake reviews, fake engagement, bot followers or engagement farming;
  • adult, sexual or sexually suggestive content;
  • gambling, betting or real-money gaming promotion;
  • cryptocurrency, forex, binary options or unregistered investment promotion;
  • multi-level marketing, chain or money-circulation schemes;
  • loan recovery, debt collection or field collection work;
  • data scraping in breach of a third party's terms, or handling of stolen or leaked data;
  • hacking, malware or any security-circumvention work;
  • political work involving paid misinformation or undisclosed sponsored content;
  • anything requiring a professional licence the Student does not hold.

10.3 Restricted gigs

Insurance. Students may not sell, solicit, negotiate, procure or advise on any insurance product. Insurance-sector gigs must remain within content, design, research, administrative support and light technical support. This is a hard limit under the Insurance Regulatory and Development Authority of India licensing regime.

Regulated sectors generally. For financial services, healthcare and pharmaceuticals, legal services, food and cosmetics, and any other regulated sector, Students may provide content, design, research and administrative support only. Students may not give advice, make regulated claims, or perform any activity requiring a licence or qualification, and the Business remains responsible for the accuracy and legality of any claim it publishes.

We may withhold payouts, suspend, or terminate accounts that breach this Section.

11. Safety and Conduct on Gigs

Where a gig involves on-site or field work, the Business is responsible for providing a safe and lawful working environment. GigLearn does not supervise on-site work and provides no insurance cover.

A Student may decline or withdraw from an on-site gig on reasonable safety grounds by reporting it to GigLearn, without penalty to their standing.

Any complaint of sexual harassment against a Business, its representative, or any user will result in immediate suspension of the account concerned pending investigation, and permanent removal if substantiated. Complaints may be made confidentially to the Grievance Officer (Section 13).

12. Intellectual Property

12.1 Platform content

All Platform content, branding, course material, the GigLearn name, logo, and mascot are owned by or licensed to Nexbridge Ventures Pvt. Ltd. You receive a personal, non-exclusive, non-transferable, revocable licence to use them for your own learning. You may not copy, republish, resell, redistribute, or use them to build or train a competing product or service.

Course levels may include curated third-party video content hosted on external platforms. That content remains the property of its creators and may change or be removed without notice.

12.2 Work product

On release of payment for a gig, all right, title and interest in the work product created for that gig — including copyright — assigns absolutely to the Business, worldwide and in perpetuity. The Student agrees to execute any further document reasonably required to give effect to this assignment.

Until payment is released, the work product remains the Student's. A Business that uses, publishes or exploits work product without paying for it breaches these Terms and infringes the Student's copyright.

Pre-existing material. Tools, templates, code libraries or components the Student owned before the gig remain the Student's; the Student grants the Business a perpetual, royalty-free licence to use them as embedded in the work product.

Third-party assets. Students must use only assets they are licensed to use commercially, including stock media, fonts, plugins and AI-generated assets. The Student is responsible for any infringement claim arising from assets the Student introduced.

Portfolio use. Unless the Business marks the gig confidential at posting, the Student may display the completed work product in their portfolio, and GigLearn may display it as a case study or in marketing.

12.3 Licence to GigLearn

You grant GigLearn a non-exclusive, royalty-free licence to host, store, reproduce and display your submissions, profile content and reviews to the extent needed to operate, secure, improve and market the Platform. This does not extend to work product marked confidential.

13. Grievance Redressal

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and the Consumer Protection (E-Commerce) Rules, 2020:

We will acknowledge every complaint within 24 hours and resolve it within 15 days. Complaints concerning content that is prima facie sexual abuse material or that depicts a minor will be actioned within 72 hours. Each complaint is issued a ticket number for tracking.

14. Ratings and Feedback

Where the Platform allows a Student and a Business to rate each other after a gig, ratings must be honest and based on actual experience. We do not edit ratings on request, but may remove a rating that is abusive, contains personal data, is manifestly retaliatory, or was obtained by threat or inducement.

15. Disclaimers & Limitation of Liability

The Platform is provided "as is". To the maximum extent permitted by law we disclaim all implied warranties, including merchantability, fitness for purpose and uninterrupted availability. GigLearn does not guarantee that any Student will receive a gig, or that any Business will receive a particular outcome, and is not liable for the acts, omissions, quality, timeliness or conduct of any Student or Business, for any loss arising from a transaction conducted off-platform, or for indirect, consequential or incidental loss, loss of profit, loss of data or loss of reputation.

To the maximum extent permitted by law, GigLearn's aggregate liability arising out of or relating to the Platform shall not exceed the total platform fees actually received by GigLearn from the transaction giving rise to the claim.

Indemnity. You will indemnify and hold harmless Nexbridge Ventures Pvt. Ltd. and its directors, officers and employees against all claims, damages, penalties and reasonable legal costs arising from your breach of these Terms, your infringement of a third party's rights, your tax or regulatory non-compliance, or content you submit.

Force majeure. Neither party is liable for failure to perform due to events beyond reasonable control, including internet or payment-gateway outage, government action, natural disaster, epidemic, civil unrest or war.

16. Suspension, Deactivation & Termination

  • You may deactivate or request deletion of your account, subject to product rules — active gigs, open disputes, or unpaid Student payouts may block deletion until resolved.
  • We may suspend or terminate access for breach of these Terms, suspected fraud, or for legal, security or operational reasons.
  • On termination, legitimately earned and undisputed wallet balances remain payable and will be released after verification, less any amount you owe us. Where termination follows proven fraud, we may withhold amounts derived from that activity. Unredeemed Gig Points are forfeited.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of India. The courts at Nagpur, Maharashtra shall have exclusive jurisdiction, subject to applicable law.

18. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date reflects the latest version. Continued use after changes constitutes acceptance. Material updates, and any increase in platform fees, will be notified at least 30 days in advance and may require renewed consent in the product.

19. General

Sections 4.6, 4.8, 6, 7, 12, 15 and 17 survive termination. If any provision is held unenforceable, the remainder survives. Our failure to enforce a term is not a waiver of it. You may not assign your rights; we may assign ours to a successor entity on notice. These Terms, together with the Privacy Policy, Refund Policy and Cancellation Policy, form the entire agreement between us. The English version prevails over any translation.
